| Capaian Pembelajaran Mata Kuliah (CPMK) | - Mahasiswa mampu menganalisis keunggulan aliansi dibanding M&A atau organik, serta mengevaluasi kinerja aliansi dengan balanced scorecard (finansial, strategis, relasional, pembelajaran) berbasis teori TCE dan RBV.
- Mahasiswa mampu merancang governance (kontraktual, relasional, ekuitas), menyusun term sheet & klausul kontrak (IP, deadlock, terminasi) untuk JV atau aliansi non-ekuitas, serta mengelola portofolio aliansi dan ekosistem bisnis (co-opetition & platform strategy).
- Mahasiswa memahami negosiasi multipihak (3-D Negotiation & BATNA), serta mengantisipasi & merespons learning race, krisis, dan konflik dengan mekanisme governance yang tepat (termasuk exit atau rekonfigurasi).
- Mahasiswa memahami pentingnya integritas, perilaku etis, dan relational trust dalam kemitraan strategis, termasuk penanganan asimetri informasi, perlindungan IP, serta kolaborasi dalam situasi co-opetition.
| - Students will be able to analyze the advantages of alliances over M&A or organic alliances, and evaluate alliance performance using a balanced scorecard (financial, strategic, relational, and learning) based on TCE and RBV theories.
- Students will be able to design governance (contractual, relational, and equity), draft term sheets and contract clauses (IP, deadlock, termination) for JVs or non-equity alliances, and manage alliance portfolios and business ecosystems (co-opetition and platform strategy)
- Students will understand multiparty negotiations (3-D Negotiation and BATNA), anticipate and respond to learning challenges, crises, and conflicts with appropriate governance mechanisms (including exit or reconfiguration).
- Students will understand the importance of integrity, ethical behavior, and relational trust in strategic partnerships, including addressing information asymmetry, IP protection, and collaboration in co-opetition situations.
